PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THE SOFTWARE. BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
LICENSE GRANT. Steelsonic Software ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, revocable license to use the software program and accompanying documentation (collectively, the "Software") solely for your internal business or personal use, subject to the terms and conditions of this EULA.
INTELLECTUAL PROPERTY. The Software and all intellectual property rights therein are and shall remain the exclusive property of Licensor and its licensors. The Software is protected by copyright laws and international treaties. Licensee shall not remove, alter, or obscure any proprietary notices on the Software.
RESTRICTIONS ON USE. Licensee shall not, directly or indirectly:
(a) Copy, modify, or create derivative works of the Software;
(b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or structure of the Software, or defeat, disable, or circumvent any protection mechanism of the Software;
(c) Sell, sublicense, rent, lease, distribute, or otherwise transfer the Software to any third party;
(d) Use the Software to develop a competing product or service, or use the Software in any way that would violate applicable laws or regulations.
UPDATES AND SUPPORT. Licensor may provide updates, upgrades, or enhancements to the Software at its sole discretion. Licensor shall have no obligation to provide support, maintenance, or upgrades to the Software, unless otherwise agreed in writing.
CONFIDENTIALITY. Licensee shall maintain the confidentiality of the Software and any related documentation, and shall not disclose or provide access to the Software or any related documentation to any third party without the prior written consent of Licensor.
DISCLAIMER OF WARRANTIES. THE SOFTWARE IS PROVIDED "AS IS" AND LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
LIMITATION OF LIABILITY. LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY TO LICENSEE FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THIS EULA SHALL BE LIMITED TO THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.
TERM AND TERMINATION. This EULA shall remain in effect until terminated. Licensee may terminate this EULA at any time by uninstalling the Software and destroying all copies of the Software in Licensee's possession or control. Licensor may terminate this EULA immediately upon written notice to Licensee if Licensee breaches any provision of this EULA. Upon termination of this EULA, Licensee shall immediately cease all use of the Software and destroy all copies of the Software in Licensee's possession or control.
GOVERNING LAW AND JURISDICTION. This EULA shall be governed by and construed in accordance with the laws of the jurisdiction where Licensor is located, without regard
